Art for the Sake for Society and Beauty - Essay Example Tolstoy stressed the emotional importance pivots on the value of communication as "infection". This aesthetic conception led Tolstoy to widen the criteria of what art exactly is. Good art, he claims foster feelings of universal brotherhood. Bad art inhibits such feelings. Tolstoy believes that it is unfitting of people in his society to continue to embrace the Greek tradition of art. He was also of the opinion that the most important quality of art is sincerity and he claims that professionalism causes a sense of sincerity in the artist as art which is produced for a living is more likely to be false and disingenuous. Oscar Wilde blames the public for this. He says that the art should never try to make it popular. The public should try to make itself artistic. The insistence of public to exercise its authority on art is immoral and the fault lies in the up bringing. Tolstoy's view of art mirrors the very idiosyncratic and sovereign nature of his own interpretation of Christianity. He was of the view that a good art must be religious art. He also claims that criticism or interpretation of art is irrelevant and superfluous. Oscar Wilde in The Soul of Man under Socialism also shares the same view on professionalism of art. He says, an individual who has to make things for the use of others and with reference to their wants and wishes does not work with interest and thus cannot put his best into his work. Upon the other hand, when a community or a government of any kind, attempts to dictate the artist what he should do, then art either wholly dies out, or becomes stereotyped or degenerates into a low and dishonorable appearance of art. Wilde too supports the view by regarding art as a matter of demand and supply. Tolstoy says, "A work of art is the unique result of a unique temperament. Its beauty comes from the fact that the author is what he is. It has nothing to do with the fact that other people want what they want." The moment art is made on demand and personal choice of the audiences; the artist looses the claim to be called an artist and is merely a craftsman and a tradesman. Art is the most inten se mode of individualism that the world had known. The artist is the only one who can fashion a beautiful thing and he does not do it for his own pleasure than he is not an artist at all. Art on order, as per Wilde, is aggressive, offensive and brutalizing. The art that has escaped best are the arts in which the public take no interest. Cormac McCarthys The Road Essay A novel entitled The Road sparks the image of a journey, not necessarily one concerning movement, but an experience, where by the time you reach the destination you have either witnessed something or come-by certain things which may affect you as a person, changed the way you think or possibly had an effect on your personal ethics. For example, a mental journey, whereby somebody lives through a certain period in their life and comes out the other end with a new perspective and attitude, like in J. D. Salingers The Catcher in the Rye. Another type of journey is an actual physical one from A to B; at the destination in this type of journey one may feel a sense of achievement and arrive at B with scores of anecdotes and stories that can range from little events that make a good joke to events which may actually change you as a person. Writing about journeys like these is a genre of writing in its own right: Travel Writing, an example being John Steinbecks Travels with Charley. The third type of journey that I associate with the phrase The Road is the concept of being on an open road, simply going with no particular interest in where you may arrive, simply the journey itself has its importance. This may simply be on a whim or yearning for open road or maybe because of a need to travel, to not stop and just keep going and perhaps to get away from something, an example of this is the film Thelma and Louise. This is a key image in American Culture, not only featured in many novels and films but important simply because it represents a freedom to be who you want to be. The open road offers new horizons and the prospect to witness new and unexpected things. This idea represents the liberty and freedom found in America The way in which the protagonists travel in The Road is not the picture perfect, open road, free spirited adventure, they rarely travel on the actual road, to avoid being seen by others who may want their belongings and food. This was not a safe place. They could be seen from the road. The iconic concept of the open-ness and the freedom associated with it is no longer present in Cormac McCarthys America. The idea of the road being such a dangerous and deadly place and the paranoia of the man is installed firmly in the readers head by the fourth page, when it discusses the shopping trolley the man has in which he carries all his possessions, food, blankets and tarpaulin. On the handlebars of the trolley the man clamped a chrome motorcycle mirror that he used to watch the road behind him which shows that whoever is left in his world isnt to be trusted and its a fend for yourself environment with none of the trust and neighbourliness that America is famous for. In the post-apocalyptic world portrayed in The Road we see an utter breakdown in the sense of community and the love thy neighbour ethic for which America is renowned. In the book, the few people the man and child come across are treated with utter caution or are avoided altogether and people who need help are ignored. An example of this would be when they come across the man who has been hit by lightning and they dont help him. The son cries for his father to help the man, but he bluntly refuses and does nothing. This is an accurate account of how some people may react in todays world where help may not be given to the man by some people so as not involve themselves, but the good thing to do would, of course, be to seek medical help. Traditional American values would instruct that one do the good thing and aid the lightning struck man. Another good example of the lack of common ethics is when the stranger robs all their belongings and they run after him and not only get it back, but also take everything he has on him, including his clothes. The fact that the man and robber are prepared to leave the other to die of the cold and starvation, represents how McCarthys world has changed human nature and the love thy neighbour and do unto others only what you would want done to yourself ethics are left disregarded and one cares for no-one but themselves.. Im starving, man. Youd have done the same. You took everything. Come on man. Ill die. This proves my point that the people left will do anything to survive even if that worsens the chances of another individual. For me, the theme that is present throughout the book and had me contrasting McCarthys world to todays is the relationship between the father and son. The young child is, of course, dependent on his father for food, guidance and moral support like most children are today and this image is strong in America with the concept of a nuclear, wholesome family being very important. In the book, whilst the sense of community may have collapsed, the father-son relationship is very strong; they care for each other, keep each other company and the father brings the child up as best he can, but in Cormac McCarthys world nothing is left quite the same. What unsettled me was how freely the child spoke about their possible impending death and themes of a similar nature. The situation in which this child has been reared has left him matured beyond his years, an example showing this being when he asks his dad, You think we are going to die dont you? Were not going to die. Okay. The child is so unfazed by the topic and it strikes me as odd and proves how even something as simple as the carefree thoughts of a child have been distorted by the world and lifestyle of the people within the America McCarthy depicts. Within the story there are two scenes that are stuck in my mind because of their vividness and brutality. Firstly, when the father and son break into a house and find dismembered, burnt people locked in the basement, a man with his legs gone to the hip. These people are being held very much like poorly treated animals or cattle, probably to be eaten, because the people are so desperate for food they have resorted to what is one of the most taboo and strictly forbidden act in most societies, cannibalism. Also the setting of their incarceration is chilling and something only thought of in nightmares. Secondly, when the father and son come across the baby gutted and placed on the spit roast in preparation for a meal. America prides itself on the fact that its a free country. This phrase is thrown around a lot but it basically means that people there have a freedom to say and do what they want as long as it doesnt break the law. The people locked in the cellar certainly arent free and them being held captive shows how extreme people may have become out of starvation and desperation to survive disregarding their previously strong believe in freedom and equality. This is also interesting because it wouldnt be the first time slavery has been an issue in America. After the Thirteenth Amendment to the US Constitution, which was passed in 1865, slavery was made illegal in America and equality reigns. The change was accepted after years of fighting and now America sees itself as a fair nation with racism and the plight of the black man as less of an issue, a good example being that the first black American President is going to be inaugurated January 20th of the coming year. Cormac McCarthys book portrays this ethic of us all being of the same level of importance being readily ignored by those in need to feed themselves and survive. In the news we often hear about anti-abortion lobbyists and pro-life rallies, especially in America. In Cormac McCarthys book the protagonists see a group of people travelling with impregnated women and then the man and son walk through the abandoned camp of these people and find a gutted baby on the spit-roast. If you put the two together the idea may strike you that women are being impregnated for the sole purpose of the meat theyll produce. In todays world this would be considered ungodly and unmentionable and not only brings up the topic of cannibalism but also the controversial theme of abortion which is utterly ignored in McCarthys world and the fact that it has gone beyond mere cannibalism but the actual production of babies for meat shows the pure desperation of some to survive and the ethical issue which is so very important today, ignored. In the scene the author refers to the baby itself very impersonally, as if its a piece of meat and nothing more. The author describes it as a human infant, headless, gutless and blackening on the spit, very brief and to the point much like one may have described it were it a common farm animal. If it werent for the human infant part it may well have been anything, the author does little to humanise the creature on the spit-roast. I think this may be simply to shield the reader and avoid the text being too explicit but also to show how this is largely commonplace in McCarthys world and that whilst shocking to the more good-willed protagonists, for some it is merely a case of survival. America is often referred to as the land of plenty, with its almost endless resources, especially of food. The poignant scene in which the father finds what could possibly be the last coke can on earth shows just how much has changed in McCarthys world and introduces the notion of how we take too much for granted. In the scene with the coke can the author describes drinks machinestilted on the floor, opened with pry bars. This shows the desperation of mankind for such objects like Coca Cola, which are integral to lifestyles in modern society and inexplicable to those who havent witnessed it. People now never think such ubiquitous items will run out. What makes the scene sadder is the fact that this iconic can which nowadays is seen in many pieces of pop-artwork, has hundreds if not thousands of adverts worldwide and is truly a universally recognized brand, isnt recognized by the child, showing how in McCarthys world this idea of a constant, ready supply of everything is simply no longer the case, especially with food. Throughout the book, punctuation is hardly used; with no speech marks and few commas and the father and son arent, at any point, referred to by name. I believe that this is to further the image that Cormac McCarthy is portraying; conveying the fact that the breakdown of society and nature is such that things like punctuation and the names of the characters, no longer are of any importance as there are more important things, survival for instance and by dropping things like the names it leaves the reader to focus more upon the father-son relationship and less on the more trivial details. The American Dream is the concept of everybody reaching his or her full potential and having the ability to fulfil their hearts desire, in the land of opportunity that America is famous for. People often immigrate to America to start a business or career in either the music industry or maybe acting. In the book rather than going to America in the hope of having it all, money, glamour, the sweet life, people are trying to leave because they have nothing. It shows how different this bleak world his and how everything has turned on its head. The phrase itself, American Dream was coined by James Truslow Adams in his book, published in 1931, called The Epic of America; in the book his definition for it is that dream of a land in which life should be better and richer and fuller for everyone but in McCarthys world, for anyone surviving there is nothing left of the original values of America, the living are in some cases, hunted for food, their freedom compromised for fear and ultimately nothing remains as it was.

The Oppressed Female in Charlotte Bronte's Jane Eyre   Ã‚  Ã‚  Ã‚   In Jane Eyre, Charlotte Brontà « clearly demonstrates the relationship between sexuality and morality in Victorian society through the character of Bertha Mason, the daughter of a West Indian planter and Rochester's first wife. Rochester recklessly married Bertha in his youth, and when it was discovered shortly after the marriage that Bertha was sexually promiscuous, Rochester locked her away. Bertha is called a "maniac" and is characterized as insane. Confining Bertha for her display of excess passion reinforces a prevalent theme in Jane Eyre, that of oppressive sexual Victorian values. Bertha's captivity metaphorically speaks on the male-dominated Victorian society in which women are inferior and scorned for acts of nonconformism.    For the first half of Jane Eyre, Bertha is only known to the reader through her nearly phantasmal presence&emdash;the peculiar laugh, and the mysterious incident in which Rochester's bed was lit on fire. Only after the foiled wedding of Rochester and Jane, in which Mr. Briggs and Mr. Mason appear unexpectedly declaring that the wedding should not proceed, does Rochester explain to Jane that he has a living wife detained on the third floor of Thornfield Hall. "He lifted the hangings from the wall, uncovering the second door: this, too, he opened" (327). "In a room without a window" Bertha is found living as a wild animal sequestered from everyone but her caretaker Grace Poole. Like a ferocious beast, she is even tied down and bound.    Throughout the novel there are similar images of the restrained female, an example being Jane's detention in the "red-room" at Gateshead Hall. Both Jane and Bertha were ... ...otypical woman of the Victorian era who courteously and obediently allowed herself to be dominated by males. Through the depictions of the incarcerated female, Brontà « speaks on the ills of an unjust society. Nature is as Man Decrees I found this assignment far more difficult than I thought it would be at first glance. While thinking about it on the way home from class, I discarded one idea after another because technology had touched nearly everything I would think of. As Dennis Baron, author of From Pencils to Pixels wrote, once we are used to certain technologies â€Å"we come to think of them as natural rather than techEven thinking about going to a national park, the truth is that just by setting it aside as a "natural" state...makes it in essence, not natural because were it not for the decrees of humanity, it would be over run with fast food stores and gas stations. In fact, sadly, writing is in one sense both creative and destructive to nature. A tree is destroyed for the very paper we write on. The question arose, is there really any such thing as natural in the 21st Century or is that a word that no longer applies in its truest sense. That, of course, led to thoughts on just what is "natural." My insti nctive definition of natural is that it is not influenced or hampered or changed by humanity. So in some regards I think my initial conclusion is correct, that at least here in the Midwestern area of United States, finding something in nature that was not influenced in some way by technology or human interference might prove impossible. So the words that would end up being my project ran round and round in my head on the long ride home, â€Å"Nature is as man decrees, hedged by his technologies.† Later on while still pondering exactly what to do in order to "create" a writing technology, I ended up, most often coming back to..."Well, if I was a Native American in this area and I wished to write something...what would I use?" We tend to have the idea that the people native to the area didn't use technology and thus could offer suggestions on what is natural. Still, that brings to the forefront, what is technology, because in reality the natives did use technology, if a pencil is considered technology, as Dennis Baron in "From Pencils to Pixels" asserts it is. He defines technology as â€Å"a way of engineering materials in order to accomplish an end† (37). So in this regard, sewing, tomahawks, and all the other tools we think of as Native American are technologies even if we don't see them on the same level as a computer.

Mitochondrial Diseases are very diverse. Specialized organelles in every cell of the body (only red blood cells lack mitochondria). Mitochondria generate more than 90% of the energy required by the body. Mitochondrial dysfunction depletes cells of energy causing cell damage and even cell death. Due to the high energy requirements of brain and muscle, mitochondrial disease typically affect these parts of the body causing Brain and Muscle disease. Other organs are frequently affected including: eye, ears, heart, liver, gastrointestinal tract, liver, kidney, endocrine system, nd blood.The diseases predominantly affect children, but adult-onset disorders are being recognized with increasing frequency. Mitochondria are unique organelles because they are the products of their own genetic material and nuclear DNA. Therefore, mitochondrial diseases are caused by mutations in either mtDNA or nuclear DNA. Mitochondrial diseases are often difficult to diagnose and therefore, it is important for patients to be evaluated at a medical center with appropriate expertise.Physical examination and laboratory tests are necessary to characterize involvement of various organs and to reach the correct diagnosis. Laboratory studies typically include: blood tests, brain MRI or CT scans, heart tests, ophthalmological and neurological evaluations. Finally, genetic testing of blood, urine, or muscle is performed to pinpoint the exact mutation responsible for a specific disease. Treatment of mitochondrial diseases is limited. Therapies to treat specific symptoms and signs of mitochondrial diseases are very important.For example, in mitochondrial patients, epilepsy typically responds to anti-convulsant drugs while insulin and other standard treatments are effective for diabetes mellitus. Retinitis pigmentosa is an inherited mitochondrial condition that involves both eyes. If it starts in one eye,it usually moves to the next eye. There are about 75,000 people in the United States with retini tis pigmentosa (RP). Since retinitis pigmentosa begins as rod degeneration, the patient first notices increasing difficulty in night vision, followed by ifficulty seeing in the periphery.Slowly progressive constriction of the visual field leads to tunnel vision. A small area of central vision in both eyes usually persists for years. Generally night blindness precedes tunnel vision by years or even decades. Total blindness eventually ensues in most cases. For years, vitamin A therapy has been recommended for many RP patients, based on research dating back to the early 1990s. , it has been the only treatment found that slows the RP process. Within the next 72 years women have gained equal rights in education, employment opportunities, and voting rights. Women have not always been able to gain an education easily as it today. Without this Declaration of Sentiments woman today as we know it would not be successful businesswomen, doctors, or lawyers. Forty-eight years before the Declaration of Sentiments was written women were not allowed to attend school once they were done with grammar school. They were allowed to continue their education privately if that so please them, but they couldnt attend school because women were considered frail minded, academically challenged, and could not study beyond grammar school. In September 1821 when the first college was opened women still did not receive full equality but they still had a chance for a high education. The women of this time where brought up to believe that they were to housewives and mothers. But as time went by, the women of this time began to see how it was unfair for women not to receive a higher education, and they began to protest. Life is often challenging and many obstacles are thrown at us almost daily. We blame bad luck, are often ready to give up, and become pessimistic of the world. During these situations, we should realize that it is a fact of life that obstacles were, is, and will always be a part of our life within our thoughts so when we endure more obstacles, we are more prepared. When we use our motivation to work through the obstacles in our life, we use a positive personal attribute and we benefit from the experience as do those around us. It is lifes obstacles which build our character, allow us to grow, and give us the strength to move on. Most people will follow the path of least resistance. They want an easy and wealthy life free from lifes obstacles. But take away the obstacles, and we take away growth and strength, because it is the obstacles which make us strong. When we lose our motivation, we lose everything because we fail to grow and move forward. We see examples of this in people who try to escape life by living their comfort zone. Those who lack motivation and continue to live in their comfort zones often act like victims of life. This becomes a hard to break habit and is destructive to their life.It requires motivation to tackle lifes surprises and to work around the obstacles which life throws at us. Those who lack motivation often act selfish and burden those around them when they share their discomfort. This disrupts everyones peace and happiness. Highly motivated people never indulge in self-pity. Instead, they shine like a beam of light and guide others by inspiration. Motivation is positive in nature and others are not only attracted to it, they are also inspired by it. They respect us for it. It also allows us to overcome any negative obstacles and is an essential part of our life .Everyone is entitled to peace and quiet, and it takes motivation to work through the evils of the world and rise above them. When people around us become depressing and annoying, we must rise above them. If we join then, we become the cause of our own downfall. Instead, we must maintain our happy state of mind. For close to three hours I was riveted by the drama unfolding on the screen. I was completely swept up in the story. As the last scene faded away, I sat silently with my emotions: sadness for Jeffrey Wigand's losses, an utter hatred for the entire tobacco industry (at that point, synonymous with "evil" in my mind), and a deep sense of admiration for my new hero, Lowell Bergman. Anti violence essay Seven years ago I did not think violence existed in America. The most violent act ever committed was the tragedy of the World Trade Center in 9/11/01. The Trade Centers had been the target for something so horrible, and I thought at the time, ‘This will change the world. † I was right about that fact: our airports are more secure, we have to have pass-ports anywhere you go now, you have more thorough bagage checks, and they’re more selective as to what’s in your purse before boarding a plane. I think the most secure place in America right now is our power plants. They have increased security at all our power plants, including the nuclear plants, and also there is air space around each plant so planes have to keep their distance from them. Homeland Security is a common word in our homes today because of 9/11. I wanted to know how. Wanted to know why. Wanted to know what our leaders reactions would be. The world trade center killed many people that my friends knew and loved; that can never be replaced. This act changed the way my friends lived, loved, and acted in school. This spine-chilling nightmare was committed because terrorists took over three planes that flew into the giant buildings. The causes of this violence is the hatred between countries, states, or nations. The hatred is then passed down to the youth generation, because we hear, and see the dislike between the grown-ups. Children learn from the wisdom and actions of what the elders do. Shooting, stabbing, verbal abuse, physical abuse, and gang fights are a few examples of youth violence. All of these exist in schools, neighborhoods, malls, the movies and even in your own home on the internet. Schools have tried to stop it but there is still a lot of verbal abuse anywhere in the school system you go. Youth violence can be stopped by reporting abuse, shooting, stabbings, and anything to do with gangs. It can also be solved by not being the one that does bulling or any of the things listed above. I think it is funny how teachers wonder about why no one reports violence in America. My say on the matter is the kids are scared it will only get worse if we tell a teacher or principal or any adult because they use our name and our grade to the bully or person that Bothers you.

Corporate Governance is a concept in which it has been existence for decades; although not in the exact form that it has come to be understood today (Anandarajah, 2001). The term corporate governance was introduced in Malaysia in 1997 during the Asian Financial Crisis. It also drew the public’s attention on the weaknesses of the Malaysian corporate governance practice (Nor Azizah Zainal Abidin, 2007).Besides that, the downfall of Sime Bank, the Bumiputera Malaysian Finance (BMF) scandal, the irregularities in Renong Berhad, the Perwaja fiasco and the internal management problem faced by Malaysian Airline System (MAS) forced government to enhance corporate governance regulations (Norwani, Mohamad, & Chek, 2011).The High Level Finance Committee Report 1999 on Corporate Governance in Malaysia defined corporate governance as the â€Å"process and structure used to direct and manage the business and affairs of the company towards enhancing business prosperity and corporate account ability with the ultimate objective of realizing long term shareholder value, whilst taking into account the interest of other stakeholders. † (Malaysian Code on Corporate Governance, 2012). The code that governs the corporate governance in Malaysia is called the Malaysia Code of Corporate Governance (MCCG).This code was recently revised in March 2012 and it is known as the MCCG2012. Besides providing relevant information to investors, this code also aims to encourage transparency management of companies, to enable investors to guide the direction of the company (Nor Azizah Zainal Abidin, 2007). The MCCG 2007 was revised with the aim to enhance the directors’ duty to the companies. With the revised MCCG 2012, there are still many issues arising from corporate governance. However, to some extent there are improvements in some area of the corporate governance.The revised MCCG 2012 contained a few improvements in the recommendation. This Code now establishes clear roles an d responsibilities where ethical standard should be formalized through the code of conduct by the board to ensure its compliance. Through the company’s code of conduct, it mandates the board to formulate system of compliance and ethical standards. Besides, it also includes ensuring that the company’s strategies promote sustainability. There are many improvements made under reinforcement of independence. 3. 1 mandate boards to undertake an annual independent director assessment.For an individual to serve as an independent director, 3. 2 mandate a cumulative term to nine years. Under 3. 3, justification and shareholder’s approval is needed if the board retains as an independent director. And lastly MCCG 2012 recommends that a majority of independent directors must be in the board and the board chairman is not an independent director. These were not in the MCCG 2007. The most important improvement under the MCCG 2012 is to ensure timely and high quality disclosure. Under this the board should make certain the appropriate disclosure procedure and policies of the company.Also, for effective dissemination of information, board should encourage the company to leverage on information technology. This is to promote better use of technology. Furthermore, with the existing recommendation, MCCG 2012 also state that the board should also encourage pool voting in order for strengthening the relationship f the company and shareholder. This imposes duty to inform the shareholders of their right to demand a poll vote by the general meeting chairman. The concern here is whether the revised MCCG have enhanced the corporate governance of the companies in Malaysia.This code calls for voluntary compliance, coupled with the requirement in the listing rules of KLSE which make mandates disclosure of the extent of compliance with the best practice sets out in the Code, while allowing for some flexibility in its implementation by companies. The aim here is to provid e necessary information and encourage disclosure to investors who entrusted their funds to companies, so that they can monitor the way it is being run (Finance Committee on Corporate Governance, 1999). This Code has somehow reduced the number of financial scandal but definitely not completely clear it off.There are many scenarios that company collapsing due to financial scandal as what was initiated by the BMF (Bank Bumiputera Finance) scandal. The law governing director’s duty consist of various forms of law. These duties have been observed also contain a plurality of legal fields such as company law and employment law (Hee, 2003). They should be individual with no connection with the company other than a seat in the board.Also, selected independent directors should meet the â€Å"independence† test under the regulatory rules and also to serve with independence of minds. This process of selecting independent directors is likely to maintain their independent mindedness (Rahman & Salim, 2010). To create a system that holds decision makers accountable while according proper respect to their authority over corporation is a challenging thing for corporate governance. The market, shareholder voting, and civil and criminal liability is the regular accountability mechanism.In theory, to create incentives for deterring self-dealing and other forms of misconduct and for responsible decision making these mechanisms work together. However, in reality, these contain flaws that allow individuals to occasionally exercise an irrational discretion when making decisions that will affect many others. The impact can be distressing for investors, employees, and the economy when the governance system fails (Jones, 2010). Given the control of publicly held companies, management should be accountable to its board of directors.The board, in turn, should be accountable to the shareholders and other stakeholders. For example, the famous corporate governance failure in Malaysia – the scandal of Perwaja Steel Sdn.Bhd.. Perwaja, a company owned by the government in collaboration with a Japanese company, Nippon Steel Corporation that was established by HICOM Bhd. in 1982, to fulfill the government’s mission in implementing the heavy industrial policy (Nor Azizah Zainal Abidin, 2007). This can be seen as an example where the state, as a shareholder in the company, has direct interest to it. Fraud and corruption can easily happen with the exi stence of this relationship. Due to the misconduct of directorship the corporate governance of Perwaja collapsed.Perwaja faced with corruption and mismanagement in tender and contract awarding. Furthermore, doubtful trading transactions and payments were carried out to non existing companies (Netto, 2004). There are one sided contracts between Perwaja and both local and foreign companies plus with erroneous records and many of millions ringgit were unauthorized (Norwani, Mohamad, & Chek, 2011). This shows the failure of corporate governance in Perwaja Steel Sdn. Bhd.. However, with fresh funds being injected by the government today, Perwaja is still in business (Netto, 2004).In other case, like the Malaysian Airlines System Bhd. (MAS) faced with internal management problems. Tan Sri Tajuddin Ramli, the largest shareholder in MAS who held both Chief Executive Officer plus with chairman position, entered into unprofitable business activities whereby he had over expansion the flight de stination, has caused the occurrence of governance failure (Norwani, Mohamad, & Chek, 2011). The new management under Tajuddin Ramli had already cause MAS to suffered huge debts, prior to the Asian Financial Crisis.This had put MAS at risk during the crisis as all their transaction were done is UD dollars (Nor Azizah Zainal Abidin, 2007). Due to the veto power of the government in MAS’s management the decision on airlines destinations were subjected to government’s decision and approval. To comply with Malaysian foreign policy, MAS had to oblige and extend its services, where at that time, not popular destinations or less concentrated areas were decided by the government. This decision contributed lower return to MAS.From this point of view, we can see that the government/political involvement in business have a huge influence in the management of the company. Besides another reason of governance failure of MAS was due to increased in capital expenditure caused by many orders on planes from 1998 to 2001. It was simply a mismatch between earnings and expenditure in the financial reporting, whereby earnings were is ringgit while the latter was in US dollar. MAS ended up paying a higher cost than what was originally ordered for. MAS was then repurchased for more than double of the market price.The question here was before the government’s buyback, why an audit was not conducted which would have a very important bearing on the proper price of the government buyout. The first code for corporate governance was published in 1988, but by the Confederation of Indian Industry (CII) entitled desirable Corporate Governance.Unlike codes in some other countries, the CII code did not make statements of principle but addressed specific business issues in India.
